This Sponsorship Agreement (the "Agreement") is made and entered into as of the last signature date below (the "Effective Date") and between Paradise Creative Group, LLC with an office at 17649 San Carlos Boulevard, Fort Myers, FL 33931 (“PCG”) and the sponsor identified below ("Sponsor"). PCG is hosting the following event: Florida Automotive & Motorsports Expo: OFF ROAD on October 5-7, 2018.

Sponsor desires to sponsor one or both of the Events. In consideration of the mutual promises and covenants contained in this Agreement, the parties here agree as follows:

1. FAME Obligations. In consideration for Sponsor's participation in the Events, FAME shall provide the Sponsor the benefits set out in Appendix, which is incorporated and here made a part of this Agreement.

2. Sponsor Obligations. For its participation as a Sponsor in the Events, Sponsor shall pay to PCG a fee (the "Sponsorship Fee"), as set out below:

3. Sponsor Trademarks/Sponsor Materials.

3.1 Subject to the terms and conditions of this Agreement, Sponsor grants to PCG the right to use Sponsor's trademarks, trade names, and logo designs and company descriptions as prepared and delivered to PCG Sponsor (“Sponsor Materials”), in any medium of advertising, marketing materials, and/or promotional goods distributed solely in conjunction with the Event and in accordance with Sponsor's trademark usage guidelines.

3.2 Any FAME logos used must be approved FAME.

4. Indemnity

4.1 PCG shall not be responsible for any loss of or damage to property of Sponsor, its employees, agents, contractors or assigns nor for any personal injury to Sponsor's officers, directors, employees, agents, contractors and/or invitees except to the extent any such claims may be directly and solely attributable to the gross negligence or willful misconduct of PCG, its directors, officers, and/or employees.

4.2 Sponsor shall indemnify, defend, and hold PCG harmless from and against any claims arising out of, or relating directly or indirectly to, content on their respective websites, use of Sponsor’s trademarks and logos, and Sponsor Materials.

4.3 Sponsor will give PCG prompt written notice of any claim or suit coming within the purview of these indemnities.

4.4 The Vendor/Exhibitor shall have liability insurance coverage of not less than $1 million dollars and shall provide FAME with a Certificate of Insurance, naming Paradise Creative Group, LLC and 74 Family Fun Park as an additional insured verifying such insurance coverage, depending on the dates chosen in this application.

5. Operations & Conduct of Event

5.1 PCG reserves the absolute right to restrict any exhibit to appropriate and suitable methods of operation and/or displays of material. If for any reason an exhibit and/or its contents, or the conduct of vendor/exhibitors staff, are deemed objectionable FAME, then, in FAME sole discretion, that exhibit and/or staff member shall be subject to immediate removal from the event at Vendors/Exhibitors sole expense.

5.2 None of the following items [any and all weapons, drug paraphernalia, animals, reptiles or birds] are to be sold, promoted, or used in any part of the event space. Single occupancy (ADA approved) scooter or animal will only be allowed for use handicapped personnel and PCG reserves the right to request valid documentation.

5.3 Sponsor will not be allowed to obstruct the view from any side of their assigned booth display area(s) [Booth/exhibit sides will not be allowed over 3 feet in the front half of booth depth], nor occasion injury to or adversely affect the displays of other Sponsors and/or Vendors/Exhibitors. The booth height is restricted to 15 feet, or less including flags.

5.4 Sponsor personnel must wear appropriate apparel. No vulgar products and/or services (in the discretion of FAME) shall be sold, promoted or demonstrated at the event.

5.5 Each Sponsor is responsible for all damage to any property caused Vendor’s/Exhibitor’s staff, personnel or its representatives.

5.6 Sponsors are not permitted to host or sponsor any event which attracts buyers during vendor/exhibit days at the event or which otherwise conflicts with the scheduled program promoted FAME at the event.

5.7 Sponsors are not granted exclusive rights to any specific product category at the event.

5.8 Parking:
(i) Sponsors are required to park in the designated area marked as “Vendor/Exhibitor” parking. Handicapped vehicles (i.e. those with the proper ADA credentials) are required to park in the designated area. Trailer Parking: Sponsors with trailers or oversized vehicles are required to park in the designated area marked as “Trailer” parking.
(ii) Sponsor parking slip must be presented in a clear visible space of each vehicle in the “Vendor/Exhibitor” and/or “Trailer” parking. Failure to display is subject to removal of the vehicles from the premises. Paradise Creative Group, LLC and 74 Family Fun Park are not responsible for any towing or removal fees that are applied.

5.9 Display Vehicles:
(i) All Display Vehicles must remain in the assigned booth space from close of set-up day through the last day of the event. NO “in and out” driving privileges allowed for any exhibited Display Vehicles – NO EXCEPTIONS.(ii) If a Display Vehicle used is to have “in and out” event driving privileges, it must be registered as a normal participant vehicle for that event.

5.10 Food Sales/Samples: Any Sponsor wishing to hand out or sell food of any kind during the event must have prior written consent from the facility concessionaire and Paradise Creative Group, as well as all proper health permits, etc.

5.11 Freight/Shipment/Deliveries:
(i) Any shipments made to the event, and all arrangements and costs necessary to unload/load Vendor/Exhibitor freight, including forklifts, must be made through Paradise Creative Group, and are the sole responsibility of the Vendor/Exhibitor, and must be paid to Paradise Creative Group. Please call 239-980-5674 to make arrangement for any shipments.

(ii) All shipments and deliveries must be pre-approved through Paradise Creative Group, LLC., and arrangements for pick-up and delivery to the facility/venue will be the vendor/exhibitor sole responsibility to coordinate and execute. FAME is not responsible for any missing or delivery of shipments.

5.12 All demonstration areas must be organized within the Sponsor’s exhibit space so as not to interfere with any pedestrian traffic in aisles. All demonstration tables & areas must be placed a minimum of 1’0” from the booth aisle line. Should customers/spectators interfere with the normal pedestrian traffic flow or overflow into neighboring exhibits, FAME may require that the demonstration either be moved to take place entirely within the Sponsor’s booth space or be eliminated altogether, with NO refund, transfer or credit due to such actions.

5.13 Sponsors MUST keep the noise levels from demonstrations or music in their exhibit booth space to a minimum, and can never interfere with FAME or the facility public announcement systems. NO voice amplification Vendor/Exhibitor inside covered areas.

5.14 Booth space must be occupied Sponsor staff during event hours. FAME is not responsible for any lost, stolen or damaged claims if unattended.

6. Sharing of Customer Lists and Business Prospects. If Vendor/Exhibitor has a “Raffle/Sign-Up” at FAME, Vendor/Exhibitor agrees to share with FAME the names, addresses, telephone number, email address and any other identifying information (“Information”) that Vendor/Exhibitor obtains, receives or collects from participants and spectators as part of that “Raffle/Sign-Up”, to the extent such sharing is permitted and lawful. Vendor/Exhibitor shall deliver to FAME said information in a readily discernible machine readable computer format within 30 days after the event. All must have prior approval to vend.

7. Limitation of Liability. Except with respect to Section 9.3, in no event shall either party be liable to the other party for any incidental, consequential, indirect, or punitive damages (including but not limited to lost profits) regardless of whether such liability is based on breach of contract, tort, strict liability, breach of warranties, failure of essential purpose or otherwise and even if advised of the possibility of such damages.

8. Representations. Each party here represents and warrants that it has the full power to enter into and perform according to the terms of this Agreement.

9. Term and Termination

9.1 Term. Subject to the terms and conditions herein, this Agreement shall be effective upon the Effective Date and shall continue through October 14, 2018 one week past the events date, unless earlier terminated as otherwise provided in this Agreement (the "Term").

9.2 Termination PCG. PCG shall be entitled to cancel the Event and/or terminate this Agreement at any time for any reason. In the event PCG terminates this Agreement for any reason other than Sponsor's breach PCG shall refund any fees received from Sponsor, and at Sponsor’s expense, return any materials, and equipment, hardware and/or software loaned Sponsor for the Events.

9.3 Termination Sponsor. Effect of Termination a) Sponsor may terminate this Agreement for breach PCG after giving PCG at least ten (10) days prior written notice specifying the nature of the breach, and giving PCG no less than ten (10) days to cure such breach. In the event such breach remains uncured at the end of the notice period, this Agreement shall terminate on the tenth day. If breach occurs fewer than ten (10) days prior to the Event dates, Sponsor may terminate this Agreement for breach if such breach is not cured the first day of the Event. b) If PCG terminates this Agreement for Sponsor's breach, PCG shall retain any fees received from Sponsor which fees shall be due and payable notwithstanding any such termination. Any equipment, materials and hardware or software of Sponsor shall be returned at the end of the Event and, in the interim, may be used for the purposes contemplated herein notwithstanding such termination. c) If Sponsor terminates for PCG’s breach, Sponsor shall be entitled to seek a full refund of any fees paid and for the return of any equipment, materials and hardware or software of Sponsor.

9.4 Survival. In the event of termination or expiration of this Agreement, paragraphs 4, 5, 6, 7 and 8 shall survive.

10. Miscellaneous

10.1 Notices. All notices, authorizations and requests in connection with this Agreement shall be deemed given on the day they are (i) deposited in the mail, postage prepaid, certified or registered, return receipt requested; (ii) sent air express courier, charges prepaid; or (iii) sent fax as indicated a fax confirmation sheet; and sent to the address in the recitals. Sponsor agrees to send a copy of any notices, via email to: info@visitfame.com

10.2 Relationship. This Agreement does not constitute and shall not be construed as constituting a partnership, or joint venture relationship between or among the parties.

10.3 Confidentiality. Each party expressly undertakes to retain in confidence all information and know-how transmitted to it the other party that the disclosing party has designated as proprietary and/or confidential or that, the nature of the circumstances surrounding the disclosure, ought in good faith to be treated as proprietary and/or confidential, and will make no use of such information and know-how except under the terms, for the purposes of and during the existence of this Agreement. Each party's obligation under this Agreement with respect to any particular information shall extend to the earlier of such time as such information is publicly available through no fault of the receiving party or five (5) years following termination of the Agreement.

10.4 Governing Law/Jurisdiction. This Agreement shall be governed and interpreted in accordance with the laws of the State of Florida. Sponsor consents to the exclusive jurisdiction and venue of the courts in the State of Florida.

10.5 Assignment. This Agreement may not be assigned either party without prior written consent of the other party.
